1. Scope of Services
Wicflow Oy ("Wicflow", "we", "us") provides AI automation services including chatbots, email automation, social media management tools, voice AI, workflow automation, and custom web applications for businesses. These Terms of Service govern your use of our services.
By engaging Wicflow's services, you agree to these Terms. Individual project agreements may include additional terms that supplement these Terms.
2. Client Responsibilities and Acceptable Use
Clients agree to:
- Provide accurate information required for service delivery
- Ensure they have the legal right to connect any third-party accounts (social media, email platforms, CRM systems) to Wicflow's tools
- Use our services in compliance with all applicable laws, including GDPR, Finnish consumer protection law, and platform-specific terms of service (Meta, Google, LinkedIn, etc.)
- Not use our services to send spam, conduct fraudulent activity, infringe intellectual property rights, or violate any applicable laws
- Maintain the security of any credentials shared with Wicflow for integration purposes
Wicflow reserves the right to suspend services if these responsibilities are not met.
3. Payment Terms
- Invoices are issued monthly or as agreed in the individual service agreement
- Payment is due within 14 days of the invoice date
- Prices are exclusive of VAT (ALV). Finnish VAT of 25.5% applies where applicable
- Late payments may incur interest as per the Finnish Interest Act (Korkolaki)
- Wicflow reserves the right to adjust pricing with 30 days written notice for ongoing services
4. Cancellation and Termination
- Either party may terminate ongoing service agreements with 30 days written notice
- One-time project agreements are governed by the individual project agreement
- Wicflow may terminate services immediately in case of material breach, non-payment, or illegal use
- Upon termination, clients retain access to their data for 30 days before deletion
5. Intellectual Property
- Wicflow retains ownership of all tools, systems, frameworks, templates, and proprietary technology developed by Wicflow
- Clients own their data: all content, business data, and materials provided by the client remain the client's property
- Wicflow is granted a limited license to use client materials solely for the purpose of delivering the contracted services
- Custom deliverables (e.g., chatbot flows, automation scripts) built specifically for a client are licensed to that client for their own use upon full payment
6. Limitation of Liability
Wicflow's total liability to a client shall not exceed the fees paid by that client in the 3 months preceding the claim. Wicflow is not liable for:
- Indirect, consequential, or incidental damages
- Loss of business, revenue, or profits
- Service interruptions caused by third-party platforms (Meta, Google, OpenAI, etc.)
- Decisions made by AI tools or automation systems
AI-generated outputs are provided as-is. Clients are responsible for reviewing and approving any AI-generated communications or content before publication.
7. Third-Party Platforms and Social Media
Our services may involve integration with third-party platforms including Facebook, Instagram, LinkedIn, YouTube, Google, and others. Wicflow:
- Acts as a service provider on behalf of clients when connecting to these platforms
- Is not responsible for changes to platform APIs or terms that affect service functionality
- Will notify clients of significant platform changes affecting their services
Clients must comply with the terms of service of all connected platforms.
8. Data Processing
Wicflow processes client data as a data processor under GDPR. We maintain appropriate technical and organizational security measures. For details, see our Privacy Policy at wicflow.com/privacy.
9. Governing Law
These Terms are governed by Finnish law. Any disputes shall be resolved in Finnish courts, with Helsinki District Court (Helsingin käräjäoikeus) as the primary jurisdiction.

11. Changes to These Terms
Wicflow may update these Terms. Material changes will be communicated to active clients with 30 days notice. Continued use of services after the effective date constitutes acceptance.
